Terms & Conditions

These Terms & Conditions of Sale (“Terms”) apply to the sale of O-Rings, Oil Seals, Rubber Seals, Gaskets, and custom sealing products supplied by KODA Oil Seal & O-RING (“KODA”) to business customers, OEMs, distributors, and other buyers (“Buyer”).

By placing an order with KODA, the Buyer agrees to these Terms together with the applicable quotation, order confirmation, technical specifications, and invoice.

1. Orders & Specifications

All orders are subject to KODA’s written acceptance.

For OEM and custom orders, the Buyer is responsible for confirming the agreed dimensions, tolerances, material, hardness, design, quantity, packaging, and other technical requirements before production begins.

Once production, tooling, or material preparation has started, order changes or cancellations may be subject to KODA’s approval and reasonable costs already incurred.

KODA will manufacture Products according to the specifications confirmed with the Buyer.

2. OEM & Custom Products

KODA provides OEM and custom sealing solutions based on customer drawings, samples, specifications, or application requirements.

For customized O-Rings, Oil Seals, and other sealing components, the Buyer should provide accurate technical information before production.

Where a drawing, sample, or specification has been approved by the Buyer, KODA may use that approved information as the manufacturing reference.

Changes requested after approval may affect tooling, production costs, lead time, or delivery schedules.

3. Pricing & Payment

Product prices and payment terms are specified in the applicable quotation, invoice, or order confirmation.

Payment must be made according to the agreed terms.

KODA reserves the right to delay production or shipment when required payments are overdue.

Unless otherwise agreed, taxes, customs duties, import charges, and destination-related fees are the responsibility of the Buyer.

4. Shipping & Delivery

KODA will make reasonable efforts to meet the agreed production and delivery schedule.

Delivery dates may be affected by raw material availability, production requirements, transportation, customs clearance, or other circumstances outside KODA’s reasonable control.

Shipping responsibility and transfer of risk will follow the agreed Incoterm or shipping arrangement stated in the sales documentation.

5. Inspection & Quality Claims

The Buyer should inspect Products promptly after receipt.

If there is an apparent shortage, shipping damage, incorrect Product, or confirmed non-conformity with the agreed specifications, the Buyer should notify KODA in writing within a reasonable period after receiving the Products.

KODA may request photographs, inspection records, measurements, samples, batch information, or other evidence necessary to evaluate the claim.

If a Product is confirmed to be defective or materially non-conforming due to KODA’s manufacturing error, KODA may provide an appropriate remedy, such as replacement Products, rework, credit, or refund.

6. Returns

Returns require KODA’s prior written approval.

Standard Products may be considered for return if they are unused, undamaged, and in saleable condition.

Because OEM Products are manufactured according to customer-specific requirements, custom-made, specially manufactured, modified, or customer-specific Products are generally non-returnable, except where a manufacturing defect or agreed specification non-conformity is confirmed.

Products that have been installed, used, contaminated, modified, or damaged through improper handling or installation may not be eligible for return.

7. Limited Warranty

KODA warrants that Products will materially conform to the agreed written specifications at the time of shipment.

The warranty does not cover failure resulting from:

• Incorrect installation
• Improper storage
• Incorrect Product selection
• Chemical incompatibility
• Excessive temperature or pressure
• Improper lubrication
• Equipment design
• Abnormal operating conditions
• Modification or misuse

Actual seal service life depends on application conditions and cannot be guaranteed solely by the Product specification.

8. Application Responsibility

For OEM applications, the Buyer is responsible for confirming that the selected O-Ring, Oil Seal, or other sealing Product is suitable for the intended equipment and operating environment.

Important factors include temperature, pressure, media compatibility, shaft speed, surface finish, sealing geometry, installation method, and operating conditions.

KODA may provide technical recommendations based on information supplied by the Buyer, but final application validation should be completed by the Buyer or equipment manufacturer unless otherwise agreed in writing.

9. Limitation of Liability

For confirmed Product non-conformity, KODA’s liability will generally be limited to the remedies described in these Terms, including replacement, rework, credit, or refund of the affected Products.

To the maximum extent permitted by applicable law, KODA will not be responsible for indirect, incidental, special, or consequential losses, including loss of profits, production downtime, business interruption, or loss of business opportunities.

10. Force Majeure

KODA will not be responsible for delays or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, fire, war, government restrictions, transportation disruption, labor disputes, raw material shortages, supplier disruptions, equipment failure, or other extraordinary events.

KODA will make reasonable efforts to communicate significant delays and resume performance when circumstances permit.

11. Customer Drawings & Confidential Information

Customer drawings, specifications, samples, trademarks, and other proprietary information remain the property of the Buyer or respective owner.

KODA will use customer-provided technical information primarily for quotation, engineering evaluation, production, quality control, and order fulfillment.

KODA’s own manufacturing processes, technical know-how, tooling methods, and proprietary technology remain the property of KODA unless otherwise agreed in writing.

12. Governing Terms

These Terms, together with the applicable quotation, order confirmation, invoice, and agreed technical documents, constitute the basis of the sales transaction between KODA and the Buyer.

If a separate written agreement signed by both parties contains terms that conflict with these Terms, the signed agreement will control to the extent of the conflict.

KODA may update these Terms from time to time. The Terms applicable to a particular order will generally be those agreed or in effect when the order is accepted.

When requesting an OEM quotation, customers are encouraged to provide the product drawing or sample, dimensions, material, hardness, application, operating temperature, pressure, media, quantity, and required delivery date.

Providing complete technical information allows KODA to evaluate the project accurately and develop a suitable sealing solution.
